These Terms of Service ("Terms") govern your use of the Virtuoso Media website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.

Virtuoso Media is a digital marketing agency based in Toronto, Ontario, Canada. We provide services including lead generation, local SEO, web design, PPC advertising, reputation management, and AI chatbot solutions for local businesses.

2. Use of Our Website

You may use our website for lawful purposes only. You agree not to:

• Use the site in any way that violates applicable laws or regulations
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to any part of our systems
• Interfere with the proper functioning of the website
• Reproduce, duplicate, or copy our content without express written permission

3. Our Services

Service Agreements

All services are governed by a separate Service Agreement executed between Virtuoso Media and the client. These Terms apply generally; specific service terms, deliverables, timelines, and pricing are outlined in individual agreements.

No Guarantee of Specific Results

Digital marketing results depend on many factors outside our control, including market conditions, search engine algorithm changes, competitor activity, and client cooperation. While we are committed to delivering measurable results and stand behind our work with a 30-day performance guarantee (as outlined in individual service agreements), we cannot guarantee specific rankings, lead volumes, or revenue figures.

Client Responsibilities

To enable effective delivery of services, clients agree to:

• Provide timely access to required accounts, assets, and information
• Review and approve deliverables within agreed timelines
• Ensure all provided materials are owned or licensed for commercial use
• Pay invoices in accordance with the agreed payment schedule

4. Intellectual Property

Our Content

All content on this website — including text, graphics, logos, and software — is the property of Virtuoso Media and is protected by Canadian and international copyright laws. You may not reproduce or distribute our content without express written permission.

Client-Owned Deliverables

Upon full payment for services, clients own all deliverables created specifically for them (website designs, ad copy, content, etc.), subject to any third-party licensing restrictions. Virtuoso Media retains the right to display work in our portfolio unless otherwise agreed.

5. Payment Terms

Unless otherwise specified in a Service Agreement:

• Monthly retainers are due on the 1st of each month
• Project-based fees follow the milestone schedule in the Service Agreement
• Invoices unpaid after 14 days may incur a 1.5% monthly interest charge
• Services may be paused for accounts more than 30 days past due
• Ad spend is billed separately and paid directly to advertising platforms

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, client data, pricing, and performance metrics. This obligation survives termination of the service relationship.

7. Termination

Either party may terminate services with 30 days written notice after the initial commitment period outlined in the Service Agreement. Upon termination, Virtuoso Media will deliver all client-owned materials and provide transition support as reasonably required. Fees for work completed prior to termination remain due.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Virtuoso Media shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability for any claim shall not exceed the total fees paid in the three months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Virtuoso Media, its officers, employees, and contractors from any claims, losses, or damages arising from your breach of these Terms or your use of our services.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. We will notify existing clients of material changes via email.
